CONSTITUTION AND BY-LAWS
(Revised February 2007)


ARTICLE 1

Name:
    This Association shall be known as the Milford Lake Association.

ARTICLE 2

Purpose:
    a.   Conserve and Enhance Milford Lake’s natural resources, primarily its fish, wildlife and their habitats, to ensure future generations the benefits of these resources;
    b.   . Provide the public with information regarding the stewardship, proper use, and appreciation of the natural resources of the area, consistent with the conservation of those resources;
    c.   Inform the public of the status of the area’s natural resources in order to promote understanding and gain assistance in achieving The Milford Lake Association’s purpose.

ARTICLE 3

Membership:
    a.   Active Members — Those individuals and business firms that are current in their dues payment.
    b.   . Honorary Members — Those individuals, groups and organizations that have made outstanding contributions to Milford Lake. Honorary memberships may be issued by 3/4 vote of the Executive Committee.

ARTICLE 4

Voting Privileges:
    Active members that are current in their dues payment are the only members who have voting or office holding privileges.

ARTICLE 5

Fees/ Membership Dues:
    a.   The membership fee for an individual/family shall be $25.00 annually.
    b.   The membership fee for a business firm shall be $40.00 annually.
    c.   There will be no dues for an honorary membership.
    d.   Dues are payable annually and shall be due January 31st of each year.
    e.   Memberships will be suspended when their dues are two months in arrears.

ARTICLE 6

Executive Committee:
    a.   The executive committee shall consist of: President, Vice-President, Secretary, and Treasurer and shall, for a two year term, be elected from and by the membership.

ARTICLE 7

Duties of Executive Committee:
    a.   . President — The President shall preside at all meetings of the Association, shall be an ex-officio member of all committees, and shall perform all such duties as are incidental to the office of President and are properly required of him.
    b.   Vice- President — In the absence of the President, the Vice-President shall exercise all of the functions of the President and shall be vested with all of the President’s powers.
    c.   Secretary - Shall serve as the secretary of the Association and shall have charge of all papers, keep such records, make such reports and perform such duties as are incidental to that office.
    d.   Treasurer — The Treasurer shall have charge of all funds of the Association, shall conduct its banking business and audit all accounts. Checks drawn shall be signed by the Treasurer or the President.

ARTICLE 8

Election of Executive Committee:
    a.   An Officer’s term will be for two years, and yet may in-turn be re-elected to an unlimited number of terms to the same office.
    b.   All active members are eligible to hold office.
    c.   In the case of the resignation or a vacancy of any of the executive committee, the remaining executive committee shall elect a member to fill such vacancy for the remainder of the term.

ARTICLE 9

Meetings:
    a.   Meetings shall be held monthly on the third Wednesday of each month.
    b.   Special meetings, or additional meetings, may be held from time to time at the discretion of the executive committee.
    c.   A quorum for the transaction of business shall consist of 3/4 of the executive committee.

ARTICLE 10

Liability of Members:
    a.   No officer or member shall be personally liable for any bills or obligations of the Association, past or present.
    b.   No officer, member or employee of the Association shall disburse any moneys of the Association unless approved by the executive committee.

ARTICLE 11

Robert’s Rules of Order:
    Robert’s Rules of Order shall govern in all matters not covered by this constitution and by-laws.

ARTICLE 12

Amendments:
    The Constitution and/or By-laws may be amended by 2/3 vote of the active members who are present at any general membership meeting.
